OPAP S.A. Regulatory announcement regarding total share capital and voting rights in OPAP

SAZKA Entertainment AG, a company established under the laws of Switzerland, which is ultimately controlled by VALEA FOUNDATION (as KKCG AG holds all ordinary shares and voting rights in SAZKA Entertainment AG), on 17 March 2021 became 100% shareholder of SAZKA Group a.s. This transfer of the shares and voting rights in SAZKA Group a.s. did not result in a change to the total number of shares and voting rights in OPAP S.A. (“OPAP”) indirectly controlled by VALEA FOUNDATION and the entities controlled by, and acting in concert with, VALEA FOUNDATION.

Moreover, it is noted that today, through the direct shareholdings in OPAP of SAZKA Delta Hellenic Holdings Limited (formerly Emma Delta Hellenic Holdings Limited) and SAZKA Group a.s., VALEA FOUNDATION and each of the other entities referred to below indirectly control, based on their concerted action, in total 150,604,126 shares of OPAP, representing 44.11% of the total share capital and voting rights in OPAP:

Stoiximan – Sole Control Clearance

Further to the announcements dated 21 April 2020, 7 August 2020 and 19 November 2020, OPAP S.A. (“OPAP”) announces that the Hellenic Competition Commission and the Commission for the Protection of Competition of the Republic of Cyprus have granted clearance on the acquisition of sole control over Stoiximan Group’s Greek and Cypriot business (“SMGC”).

Following the above and given that there is no other approval pending, OPAP’s fully-owned subsidiary, OPAP Investment Limited (“OPAP Investment”), will proceed with the implementation of sole control over SMGC, where it will own 84.49%.
